Private capital raising is an important component of Frost Securities’ business. FSI has developed relationships with active private equity firms, mezzanine funds, venture capital firms, senior capital providers, insurance funds and corporate strategic investors. We act as an agent to our corporate clients to seek the most efficient capital among our vast array of funding sources. FSI arranges financing for a wide range of purposes including growth capital, mergers and acquisitions, leveraged or management buyouts, shareholder monetization and refinancings and recapitalizations.
FSI’s private placement process includes the following:
- Strategy development including valuation expectations, timing and goals;
- Company due diligence which maximizes our understanding of the business and our ability to present the Company to financing sources;
- Extensive financial modeling and the determination of financing needs;
- Preparation of a confidential memorandum highlighting the key investment considerations for the Company;
- Identification of and contact with the most appropriate investors for the Company;
- Management of the roadshow and investor due diligence;
- Analysis of financing alternatives; and
- Negotiation of terms and closing.
