Frost Securities provides qualified seller advisory services and analysis to middle market companies. Prior to the launch of a transaction, FSI invests significant time with clients in an effort to understand their goals and objectives and conducts extensive due diligence at the company and industry level. Strengths and weaknesses are identified as well as potential opportunities and threats; this information gathering phase helps FSI ascertain the current competitive environment within a client’s industry and enables FSI to advise our client on alternatives to maximize the owners' objectives.

Upon completion of the due diligence process, FSI prepares a confidential memorandum with the Company outlining the transaction, company operations, key investment considerations and financial condition of the company. Additionally, FSI utilizes its experience in the public and private capital markets to identify appropriate financial and strategic buyers.

FSI manages all steps of the transaction execution process including the following:

  • Identifying and contacting potential buyers;
  • Disseminating requisite documents (executive summaries, confidentiality agreements, confidential memorandums);
  • Responding to information requests;
  • Organizing the due diligence process and management presentations;
  • Soliciting indications of interest and analyzing the offers; and
  • Negotiating the letter of intent and associated the closing documents.

The primary goal for both the company and FSI is the successful close of a transaction. FSI’s diverse industry expertise, transaction knowledge and relationships with both financial and strategic buyers will help companies unlock their full value potential and can guide the Company to a successful transaction.
